Terms of Service

These Terms of Service ("Terms") govern your use of the Propzy real estate management platform (the "Service") operated by Propzy ("we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you are at least 18 years old and agree to these Terms. If you are using the Service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

Propzy is a cloud-based real estate management platform that provides:

• Contact and lead management (CRM)
• Transaction management and tracking
• Property listing creation and distribution
• Document management and electronic signatures
• Commission tracking and accounting
• Email inbox integration
• Calendar and task management
• AI-powered tools for content generation and analysis
• Third-party integrations (Google Calendar, Facebook, Instagram, WhatsApp, WordPress)
• Company website generation and management

3. Accounts

Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.

Company Accounts

Each company account is isolated. Company administrators manage users, roles, and permissions within their organization. You may not access another company's data or account.

Account Security

You must immediately notify us of any unauthorized use of your account. We implement security measures including password hashing, rate limiting, and session management, but you are responsible for keeping your credentials secure.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any part of the Service or other users' accounts
• Upload malicious code, viruses, or harmful content
• Interfere with or disrupt the Service or its infrastructure
• Scrape, crawl, or harvest data from the Service without authorization
• Use the Service to send spam or unsolicited communications
• Resell, sublicense, or redistribute the Service without our written consent
• Circumvent security measures, rate limits, or access controls

5. Your Data

Ownership

You retain ownership of all data you upload, create, or store in the Service (listings, contacts, documents, transactions, etc.). We do not claim ownership of your content.

License to Us

You grant us a limited license to store, process, and display your data solely to provide the Service to you. This includes transmitting data to third-party integrations you have authorized.

Data Export

You may export your data at any time using the available export features. Upon account termination, we will provide reasonable assistance to export your data.

Data Protection

We handle your data in accordance with our Privacy Policy. Your company's data is isolated from other companies on the platform.

6. Third-Party Integrations

The Service allows you to connect third-party services including Google Calendar, Facebook, Instagram, WhatsApp, WordPress, and AI services (Anthropic/Claude). When you connect these services:

• You authorize us to exchange data with these services on your behalf
• You are subject to the third party's own terms of service and privacy policy
• We are not responsible for the availability, accuracy, or conduct of third-party services
• You may disconnect integrations at any time
• API keys and tokens you provide are stored securely and used only for the authorized purpose

7. AI Features

The Service includes optional AI-powered features powered by third-party AI services:

• AI-generated content (listing descriptions, emails) is provided as suggestions — you are responsible for reviewing and approving all content before use
• AI analysis results (lead scoring, market analysis) are informational and should not be the sole basis for business decisions
• Each company provides and manages their own AI API key and is responsible for associated costs
• We are not liable for the accuracy or suitability of AI-generated content

8. Electronic Signatures

The Service provides electronic signature capabilities. By using this feature:

• You agree that electronic signatures are legally binding to the extent permitted by applicable law
• You are responsible for ensuring your use of e-signatures complies with local regulations
• We store signature records, audit trails, and timestamps for verification purposes

9. Subscription and Payment

• Access to the Service requires an active subscription
• Subscription fees are billed according to the plan selected (per-user or unlimited)
• All fees are non-refundable unless otherwise stated
• We reserve the right to modify pricing with 30 days' notice
• Failure to pay may result in suspension or termination of your account

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may:

• Perform scheduled maintenance with reasonable notice
• Experience temporary outages due to circumstances beyond our control
• Modify, update, or discontinue features with reasonable notice

11. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided "as is" without warranties of any kind
• We are not liable for indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
• We are not responsible for data loss due to circumstances beyond our reasonable control

12. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third party's rights.

13. Termination

• You may terminate your account at any time by contacting us
• We may suspend or terminate your account for violation of these Terms
• Upon termination, your right to use the Service ceases immediately
• We will retain your data for 30 days after termination to allow export, after which it may be deleted

14. Governing Law

These Terms are governed by the laws of Belize. Any disputes shall be resolved in the courts of Belize.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page. Continued use of the Service after changes constitutes acceptance.
